Agreement between you and Docwyn AI LLC (Wyoming, USA)

These Terms of Service (the "Terms") govern access to and use of the Docwyn websites, products, and services (the "Services"). By using the Services, you agree to these Terms. If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization, and “you” refers to that organization.

IMPORTANT DISCLAIMERS: The Services perform automated extraction, classification, and related AI processing on documents you supply. Outputs may be incomplete, inaccurate, or unsuitable for your purposes. You are solely responsible for reviewing outputs and for any decisions based on them. The Services are not legal, accounting, or compliance advice.


1) Accounts & eligibility

You must be at least 16 and capable of forming a binding contract. You must provide accurate registration information and keep credentials confidential. You are responsible for activity under your account. We may suspend or terminate accounts for violations of these Terms or to protect the Services or others.

2) Subscriptions, fees, and taxes

Pricing may include a free tier, per‑page usage, volume plans, or enterprise agreements. We may invoice or charge a payment method you provide. Fees are due upon receipt unless otherwise stated. Taxes (e.g., VAT/GST/sales tax) are your responsibility; we may collect where required. Except as required by law or expressly stated, all fees are non‑refundable.

3) The Services; beta features

We may modify or discontinue features with reasonable notice where practicable. We may label some features as Beta or Preview; such features are provided as‑is and may be less reliable or secure.

4) Customer Data; license to process

You retain all rights to Customer Data. You grant us a worldwide, non‑exclusive license to host, use, process, transmit, display, and create derivative works from Customer Data solely to provide, maintain, support, secure, troubleshoot, and improve the Services for your organization (e.g., tuning models you deploy for your tenant). We do not use Customer Data to train generalized models for other customers unless you opt in or agree otherwise in writing.

We implement measures designed to protect the Services and Customer Data. You are responsible for configuring your environment (e.g., access controls, data minimization, retention) and for any third‑party integrations you enable. We will notify you of data incidents as required by law and the DPA.

7) Third‑party integrations & links

Connecting third‑party services (e.g., OneDrive, Dynamics 365, SAP, Salesforce, email, WhatsApp) is at your discretion. We do not control and are not responsible for third‑party services or their terms, policies, or availability. Data exchanged with them is governed by their terms and your configuration.

8) Confidentiality

Each party may disclose Non‑Public Information to the other. The receiving party will use it solely to perform under these Terms, protect it with at least reasonable care, and not disclose it except to personnel and subprocessors bound by obligations of confidentiality.

9) Intellectual property; feedback

The Services, including all software, models, and content provided by us, are owned by Docwyn or its licensors. No rights are granted except as expressly stated. If you provide feedback, you grant us a perpetual, irrevocable, royalty‑free license to use it without attribution.

10) Publicity

Unless you opt out in writing, we may identify your organization as a customer and use your name and logo in accordance with your brand guidelines. You may opt out at any time by contacting us.

11) Term; termination; data export

These Terms start when you first use the Services and continue until terminated. You may terminate at any time by closing your account. We may suspend or terminate for material breach, to comply with law, or to prevent harm. Upon termination, (a) your license ends; (b) we will delete or return Customer Data on request within a reasonable period, subject to legal/archival requirements; and (c) you remain responsible for fees incurred. We will provide a commercially reasonable export window to retrieve Customer Data.

12) Warranties & disclaimers

THE SERVICES AND ALL RELATED MATERIALS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON‑INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE. WE DO NOT WARRANT THAT THE SERVICES WILL BE ERROR‑FREE, UNINTERRUPTED, OR MEET YOUR REQUIREMENTS, OR THAT OUTPUTS WILL BE ACCURATE OR COMPLETE.

13) Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL DOCWYN OR ITS AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR ENHANCED DAMAGES; OR FOR LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES IN ANY 12‑MONTH PERIOD WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO DOCWYN FOR THE SERVICES GIVING RISE TO THE CLAIM DURING THAT 12‑MONTH PERIOD OR US$100, WHICHEVER IS GREATER. THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF A LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

14) Indemnification

You will indemnify, defend, and hold harmless Docwyn, its affiliates, and personnel from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your content or Customer Data; (b) your use of the Services in violation of these Terms or law; (c) any third‑party claims alleging that your content or use infringes or misappropriates rights or violates privacy or publicity rights.

Optional IP indemnity for enterprises (include if negotiated): If included in an Order Form, Docwyn will defend you from third‑party claims that the Services (when used as permitted) directly infringe U.S. intellectual‑ property rights, and will pay final damages awarded or settlement amounts approved by Docwyn, subject to customary conditions and exclusions. Docwyn may, at its option, (i) procure the right for you to continue using the Services; (ii) replace or modify the Services to be non‑infringing; or (iii) terminate the affected Services and refund prepaid, unused fees. This section states your exclusive remedy for IP claims.

15) Export controls & sanctions

You represent that you are not located in, under the control of, or a national or resident of any country or entity subject to U.S. embargoes or sanctions and will not use the Services for prohibited end uses.

16) Dispute resolution; governing law

Governing law & venue. These Terms are governed by the laws of the State of Wyoming, without regard to conflict‑of‑laws rules. The exclusive jurisdiction and venue for any disputes that are not subject to arbitration will be the state and federal courts located in Wyoming, and both parties consent to personal jurisdiction there.

Arbitration & class‑action waiver (optional for consumer/self‑ serve plans):Any dispute arising out of or relating to these Terms or the Services will be resolved by binding arbitration administered by the AAA under its rules. YOU AND DOCWYN AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION. You may opt out of arbitration within 30 days of first accepting these Terms by sending written notice.

17) Miscellaneous

Assignment; notices; force majeure; waiver; severability; interpretation; and survival apply. If any provision is unenforceable, it will be modified to the minimum extent necessary to be enforceable, and the remainder will remain in effect. These Terms constitute the entire agreement between you and us regarding the Services, superseding prior or contemporaneous agreements (except a signed enterprise agreement or DPA that expressly supersedes these Terms).
